Terms of Use

The Fidelity Foundation is pleased to provide you with the information found on the Fidelity Foundation website (the "Site"). Your use of the Site indicates your acceptance of these Terms of Use ("Terms of Use"). If you do not agree to these Terms of Use, do not use this Site. Your use of this Site is governed by the version of the Terms of Use in effect on the day on which you access the Site. The Fidelity Foundation may modify these Terms of Use at any time and without prior notice. The Terms of Use were last modified in February 2017. You should review the most current version of the Terms of Use by selecting the Terms of Use hyperlink located at the bottom of the page each time you access the Site. The Fidelity Foundation may discontinue or modify the Site at any time without prior notice to you, and you accept those modifications if you continue to use the Site. This Site is intended only for your personal non-commercial use.

Password Security and Notification

If you have a password for access to non-public areas of the Site, you are solely responsible for maintaining the confidentiality and use of the password and other security data, methods, and devices. Further, you are responsible for all activities that occur in connection with your password, including all electronic transmissions. The Fidelity Foundation shall not be under any duty to inquire as to the authority or propriety of any information given to the Fidelity Foundation by you or via your password and shall be entitled to act upon any such information, and the Fidelity Foundation will not be liable for any loss, cost, expense, or other liability arising out of any such instructions. Notify the Fidelity Foundation immediately if you become aware of any unauthorized activity, disclosure, loss, theft, or unauthorized use of your password. You agree to cooperate with the Fidelity Foundation in any investigation and agree to take corrective measures to protect your account from further fraudulent activity.

Ownership and Content

All text, graphics, and other materials on the Site ("Content") are the property of the Fidelity Foundation. All works of authorship are protected by United States copyright law and may not be reproduced, distributed, modified, transmitted, displayed, published, broadcast, or framed-in without prior written permission from the Fidelity Foundation. You may not alter or remove any trademark, copyright, or other notice from copies of the Content. The Fidelity Foundation authorizes you to view or download a single copy of Content solely for your personal, noncommercial use, provided you include any copyright and proprietary rights notices that are contained in the Content.

If you believe that your work has been copied in a way that constitutes copyright infringement, please provide the Fidelity Foundation with the following information:

  • A physical or electronic signature of a person authorized to act on behalf of the owner of the copyright allegedly infringed
  • A description of the copyrighted work that you claim has been infringed, or, if multiple copyrighted works are the subject of a single notice, a representative list of such works
  • An identification of the allegedly infringing material and a description of where that material is located on the Site
  • Your address, telephone number, and email address
  • A statement by you that you have a good faith belief that use of the disputed material in the manner complained of is not authorized by the copyright owner, its agent, or the

Limits on Liability

The Fidelity Foundation will not be liable for:

  • The contents of any transmission provided to the Fidelity Foundation by you or other third parties
  • The contents of any website that is accessed from or linked to the Site by direct or indirect means, unless the website is controlled, owned, or operated by the Fidelity Foundation, or under obligation to act on Fidelity Foundation's behalf
  • Any loss resulting from a cause over which the Fidelity Foundation does not have direct control. This includes failure of electronic or mechanical equipment or communications lines (including telephone, cable, and Internet), unauthorized access, viruses, theft, operator errors, severe or extraordinary weather (including flood, earthquake, or other act of God), fire, war, insurrection, terrorist act, riot, labor dispute and other labor problems, accident, emergency, or action of government.
  • Any direct, indirect, incidental, special, or consequential damages whether in contract, tort, strict liability or otherwise, arising out of or relating to the use of or inability to use the Site, even if the Fidelity Foundation has been advised of the possibility of such damages. If certain states do not allow the limitation of liability for consequential or incidental damages, this may not apply to you. Indemnification

You agree to indemnify and hold the Fidelity Foundation, its directors, officers, employees, agents, and representatives harmless from all claims, liabilities, damages, and expenses (including attorneys' fees and expenses) arising out of or relating to (a) your use of the Site or (b) any alleged breach of these Terms of Use.

Timeliness of Content

All Content on the Site is presented only as of the date published or indicated and may be superseded by subsequent events or for other reasons. You are responsible for setting the cache settings on your Internet browser to ensure you are receiving the most recent information.

Prohibited Uses

Because all servers have limited capacity and are used by many people, do not use the Site in any manner that could damage or overburden any Fidelity Foundation server or any network connected to any Fidelity Foundation server. Do not use the Fidelity Foundation Site in any manner that would interfere with any other party's use of the Site.

Linking Policy

You may not place a link to the Site from any other website without the prior written permission of the Fidelity Foundation.

Privacy Policy

Information collected on this Site will be used to facilitate your interactions with the Fidelity Foundation regarding your grant request and grant, if awarded. Access to any information you provide is limited to individuals at the Fidelity Foundation and others it may authorize. The Fidelity Foundation uses unaffiliated third parties to perform certain services on its behalf, such as hosting this Site. These service providers are obligated to keep any information they have access to confidential and use it only to provide the services specified by the Fidelity Foundation.

The Fidelity Foundation or its service providers may use cookies to support the operation of the Site. Cookies are small amounts of data that a website exchanges with a web browser on a visitor's computer or mobile device. Cookies are used for security purposes and to help us collect information about visitors to the Site such as date and time of visits and pages visited.

Termination

The Fidelity Foundation may terminate your access to the Site for any reason, without prior notice.

Governing Law

Unless otherwise agreed, these Terms of Use and their enforcement are governed by the laws of the Commonwealth of Massachusetts, without regard to conflicts of law and shall inure to the benefit of Fidelity Foundation's successors and assigns, whether by merger, consolidation, or otherwise.

Remedies

Given the nature of these terms, you understand and agree that, in addition to money damages, the Fidelity Foundation will be entitled to equitable relief upon a breach of them by you.

Waiver

No waiver by the Fidelity Foundation shall be construed as a waiver of any proceeding or succeeding breach of any provision.

Survival of Provisions

Each provision of the Terms of Use shall be construed as separately applying and surviving even if for any reason one or other of those provisions is held to be inapplicable or unenforceable in any circumstances. These Terms of Use shall be severable and construed to the extent of their enforceability in light of the parties' mutual intent if deemed at all unenforceable by the competent court.

Entire Agreement

We intend that these Terms of Use constitute the entire agreement between the Fidelity Foundation and you. Any changes to these Terms of Use between the Fidelity Foundation and you must be in writing and signed by both parties.
